1. Agreement to Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you ("User", "Seller", "you", or "your") and SellerBuddy Technologies ("Company", "we", "us", or "our") regarding your use of the SellerBuddy platform ("Service", "Platform", or "Application").

By accessing or using SellerBuddy, you agree to be bound by these Terms and our Privacy Policy. If you do not agree to these Terms, you may not access or use our Service.

2. Description of Service

SellerBuddy is a comprehensive micro-SaaS platform designed to help Indian e-commerce sellers manage custom orders through WhatsApp automation, OCR processing, and order management tools. Our services include:

• WhatsApp Business API integration for automated customer communication
• OCR (Optical Character Recognition) for extracting order information from screenshots
• Order management and tracking across Meesho and Flipkart platforms
• Customer personalization request handling
• Multi-shop management and analytics
• Billing and subscription management

3. Eligibility and Account Registration

3.1 Eligibility Requirements

To use SellerBuddy, you must:

• Be at least 18 years of age
• Be a legal resident of India
• Have the legal capacity to enter into binding contracts
• Operate a legitimate e-commerce business on supported platforms
• Provide accurate and complete registration information

3.2 Account Security

You are responsible for:

• Maintaining the confidentiality of your account credentials
• All activities that occur under your account
• Immediately notifying us of any unauthorized access
• Ensuring your contact information remains current and accurate

4. Subscription Plans and Billing

4.1 Free Trial

New users receive a free trial of 150 orders. The trial includes full access to all platform features. No payment information is required during the trial period.

• All prices include 18% GST as per Indian tax regulations
• Subscriptions are billed monthly in advance
• Overage charges are billed at the end of each billing cycle
• Top-up credits can be purchased anytime and carry forward

4.4 Payment Terms

• Payment is due immediately upon subscription or renewal
• We accept major credit cards, debit cards, and UPI payments
• Failed payments may result in service suspension
• Refunds are processed according to our refund policy (Section 8)

5. Acceptable Use Policy

5.1 Permitted Uses

You may use SellerBuddy only for:

• Managing legitimate e-commerce orders and customer communications
• Processing customer personalization requests
• Organizing and tracking business operations
• Generating reports and analytics for business purposes

5.2 Prohibited Activities

You may not use SellerBuddy to:

• Violate any applicable laws, regulations, or third-party rights
• Send spam, unsolicited messages, or fraudulent communications
• Upload malicious software, viruses, or harmful content
• Attempt to gain unauthorized access to our systems
• Reverse engineer, decompile, or modify our software
• Use the service for any illegal or unauthorized purpose
• Harass, abuse, or harm other users or their customers
• Share account credentials with unauthorized parties

6. Data and Privacy

6.1 Data Ownership

You retain ownership of all data you upload to SellerBuddy, including customer information, order details, and business data. We do not claim ownership of your content.

6.2 Data Processing

By using our service, you grant us permission to process your data as necessary to provide the service, including OCR processing, analytics, and customer communication facilitation.

6.3 Privacy Compliance

Our data handling practices are governed by our Privacy Policy. You are responsible for ensuring your use of customer data complies with applicable privacy laws and regulations.

7. Service Availability and Support

7.1 Service Level

We strive to maintain 99.9% uptime for our service. However, we do not guarantee uninterrupted access and may perform maintenance that temporarily affects availability.

8. Cancellation and Refunds

You may cancel your subscription at any time through your account dashboard or by contacting support. Cancellation takes effect at the end of your current billing period.

8.2 Refund Policy

• No refunds for partial months or unused portions of subscription plans
• Refunds may be considered for technical issues preventing service use
• Top-up credits are non-refundable but carry forward indefinitely
• Refund requests must be submitted within 7 days of the billing date
• Refunds are processed within 7-10 business days when approved

8.3 Account Termination

We may suspend or terminate your account for violations of these Terms, non-payment, or other legitimate business reasons. You will receive notice before termination when possible.

9. Intellectual Property

SellerBuddy and all related software, trademarks, and intellectual property are owned by SellerBuddy Technologies. You may not copy, modify, or distribute our intellectual property.

9.2 Your Rights

Subject to these Terms, we grant you a limited, non-exclusive, non-transferable license to use SellerBuddy for your business purposes during your subscription period.

9.3 Feedback

Any feedback, suggestions, or ideas you provide about SellerBuddy become our property and may be used to improve our service without compensation to you.

10. Disclaimers and Limitations

10.1 Service Disclaimer

SellerBuddy is provided "as is" without warranties of any kind. We do not guarantee that the service will be error-free, secure, or continuously available.

10.2 Limitation of Liability

Our liability for any damages arising from your use of SellerBuddy is limited to the amount you paid for the service in the 12 months preceding the claim. We are not liable for indirect, incidental, or consequential damages.

10.3 Third-Party Services

SellerBuddy integrates with third-party services (WhatsApp, Meesho, Flipkart). We are not responsible for the availability, functionality, or policies of these external services.

You agree to indemnify and hold harmless SellerBuddy Technologies from any claims, damages, or expenses arising from:

• Your use of the service in violation of these Terms
• Your violation of applicable laws or third-party rights
• Content you upload or transmit through the service
• Your business operations and customer relationships

These Terms are governed by the laws of India. Any disputes will be resolved in the courts of competent jurisdiction in India.
